Terms of service

Last updated: November 1, 2026. These terms cover the pilots, hardware, labels, subscriptions and software sold by Web Landscapes LLC, a Florida company trading as OverRack ("we", "us"), and the free tools on overrack.com. Questions go to contact@overrack.com or (786) 372-0287.

1. What we sell

A pilot at one site; hardware and labels you buy, with a software subscription per site; or a subscription per site that includes the use of our hardware, the software and support. The software is in early access: the first release is being completed with pilot customers, and features listed on this site as "after the pilots" are plans, not promises. Your quote lists exactly what you're buying.

A savings-based agreement (a set share of savings measured in the customer's own records) is written for each customer after the free assessment, with its baseline, measurement rules and exit points in it; where it differs from these terms, the agreement applies. The assessment itself (records review, video walk-through, sample count and report) is free and creates no obligation on either side.

2. The read test

Before we quote, we test labels on up to ten of your items, sent to us by mail, with return shipping paid by us, and report how they read. The report describes what we measured on those items; it isn't a guarantee of how every item at your site will read.

3. Quotes, prices and payment

  • We don't publish prices. Every sale follows a written quote in US dollars, valid for 30 days, that names the hardware models, quantities, fees and terms. Sales tax is added where it applies.
  • Pilot: the pilot fee is paid before the pilot starts. The pilot length, scope and success criteria are written in the quote. Any handheld we lend for the pilot stays ours and comes back to us at the end unless you buy it. If you order a rollout within 30 days of the pilot report, the pilot fee is credited against it.
  • Buying: hardware, labels and setup are paid in full against our invoice before we order the hardware. The software subscription is billed monthly or yearly in advance. You can cancel it by email at any time; it ends at the end of the paid period and nothing is refunded for the remainder.
  • Subscribing: the first month is due when you sign, then billing is monthly in advance. The minimum term is in your quote. After it, the subscription continues month to month until you cancel by email, unless your quote says otherwise.
  • Pilot customers keep the terms in their quote for as long as they stay subscribed.

4. Hardware and labels

  • Hardware you buy is yours when it's delivered, and risk passes to you then. The warranty is written in your quote; if a unit is faulty on arrival we handle the return and replacement.
  • Hardware included in a subscription stays ours. Keep it in the condition it arrived in, apart from normal wear, and return it with its dock when the subscription ends; we send a prepaid label. If it fails in normal use we replace it, usually before you send the old one back. Loss, theft or damage beyond normal wear is charged as set out in your quote.
  • Labels and tags are consumables, and yours once delivered. They aren't returnable once the pack is opened. Unopened packs can be returned within 30 days for a refund less shipping.
  • Hardware you bought that works as described isn't returnable once it's been enrolled in your account and used.
  • Read range and read rates depend on your goods, your shelving and label placement. We measure them; we don't guarantee them.

5. The software

  • We give you access to the web app and the counting app for the people and devices in your plan. You're responsible for who you give logins to and for keeping them private.
  • We back up your data daily and keep it in US data centers. You can export it as CSV at any time. When your subscription ends, the account stays open read-only for 30 days for exports, then we delete it; earlier on request.
  • We fix faults and keep the software running with reasonable care. It may be unavailable during maintenance or because of failures outside our control; we don't promise a particular uptime. Keep the counting app's offline mode in mind: it holds reads until the connection returns.
  • The software is for stock records. It isn't a security or loss-prevention system, and it isn't designed for safety-critical use.

6. Setup and training

Setup and training are done remotely by video call and email. We import the item list you give us as you give it; cleaning up the list before import is your job, and we'll tell you what we see. We tag the first batch with you on a call and train the person who'll count; we don't count your stock for you.

7. The free tools

The calculator and the demo on this site run in your browser and save nothing to our servers. They use simplified assumptions, which are stated on the page, and are for general information.

8. Liability

To the extent the law allows, our total liability for any claim is limited to the amount you paid us in the twelve months before the claim, and we're not liable for indirect losses such as lost sales, stock written off because of a count, or the cost of a count done by other means. Nothing in these terms limits liability that can't be limited by law.

9. Law and disputes

These terms are governed by the laws of the State of Florida. Any dispute goes to the state or federal courts in Miami-Dade County, Florida. Before going to court, we both agree to try to resolve it by talking first.

10. Changes

If we change these terms, we update the date at the top and tell subscribers by email. The terms in force when you pay for a pilot, hardware or a period of a subscription are the ones that apply to it.
